1. Agreement & Parties
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Distant Blue LLC, a Delaware limited liability company ("Distant Blue," "we," "us," or "our"), governing your access to and use of the Orizon1 software platform ("Service"). By accessing or using the Service, you represent that you have read, understood, and agree to these Terms.
2. Professional Disclaimer
Orizon1 is a documentation aid designed to assist qualified professionals in the preparation of lighting controls documentation, including Control Intent Narratives, Sequences of Operation, and related project deliverables. The Service is not a substitute for the judgment, expertise, or licensure of a qualified engineer, designer, or other licensed professional.
Outputs generated by Orizon1 — including compliance checks, specifications, schedules, and narratives — must be reviewed, validated, and approved by a licensed professional before use on any project. Distant Blue makes no representations regarding the accuracy, completeness, or fitness for any particular purpose of any generated output. Users are solely responsible for verifying that all outputs comply with applicable codes, standards, and project requirements.
3. License & Permitted Use
Subject to your compliance with these Terms and payment of applicable fees, Distant Blue grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or redistribute the Service or any output without prior written consent from Distant Blue.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account. Accounts may not be shared between individuals.
5. Data & Privacy
We collect and process the following categories of data in connection with your use of the Service:
Account data: Name, email address, firm information, and profile details provided during registration.
Project data: Room configurations, setpoints, compliance results, and other content you enter into the Service. Your project data is stored securely and is not shared with third parties without your consent.
Usage analytics: We collect anonymized usage data including feature interactions, session duration, and error events. This data is used solely to improve the Service and is not sold to third parties.
The Service is available to users internationally. By using the Service, you consent to the transfer and processing of your data in the United States. We implement industry-standard security measures to protect your data.
6. Communications
By creating an account, you agree to receive service-related communications from Distant Blue via email. These include account notifications, billing receipts, and material updates to these Terms. 7. Limitation of Liability
To the fullest extent permitted by applicable law, Distant Blue and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.
Distant Blue's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to Distant Blue in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
8. Intellectual Property
The Service, including all software, design, and content, is owned by Distant Blue and protected by applicable intellectual property laws. You retain ownership of all project data and content you create using the Service. You grant Distant Blue a limited license to store and process your content solely to provide the Service.
9. Termination
Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. You may request a data export prior to termination by contacting [email protected]. Sections 2, 5, 7, and 8 survive termination.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
11. Changes to These Terms
Distant Blue may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after the effective date of any revision constitutes acceptance of the updated Terms.
